Please read this User Agreement ("Agreement") carefully. It is a legally binding agreement between you and Green Banking Services Ltd. ("Green Banking", "Coinepay", "we", "us" or "our"), a corporation incorporated in Ontario, Canada (Ontario Corporation No. 1001336082) and registered with FINTRAC as a Money Services Business (No. N300000924), which operates the Coinepay services as a member of the group headquartered in the United States by World Card Ltd. This Agreement governs your access to and use of the Coinepay website, mobile application and related services (the "Services"). By registering an account or using the Services, you confirm that you have read, understood and agree to be bound by this Agreement, our Privacy Protection Policy and our AML/CTF Policy. If you do not agree, do not use the Services.

1. About Coinepay

1.1 "Coinepay" is the brand under which the Coinepay group provides the Services. Our principal places of operation are the United States and Canada: World Card Ltd (incorporated in Wyoming; FinCEN MSB No. 31000329169972), based at 44 Wall Street, New York, is the group's parent company and headquarters, and Green Banking Services Ltd. (Ontario, Canada) is the operating entity that contracts with you. Coinepay Pte. Ltd. (Singapore) and Coinepay Limited (Hong Kong) are liaison offices; neither is a party to this Agreement or provides regulated financial services to you.

1.2 Money transfer and foreign exchange services are provided by Green Banking as a FINTRAC-registered Money Services Business and/or by licensed partner institutions. Card issuance and fund custody are provided by licensed partner banks and financial institutions ("Partner Institutions"). Green Banking is not a bank and does not accept deposits. Registration with FINTRAC or FinCEN does not mean that those agencies endorse or license our business.

1.3 When you use a card or a payment service provided by a Partner Institution, you may also be bound by its cardholder agreement or terms ("Partner Terms"). If there is any conflict between this Agreement and the Partner Terms regarding that financial service, the Partner Terms prevail.

1.4 Nothing on the Coinepay website or application constitutes investment, legal or tax advice, or an offer of securities.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old and have full legal capacity to enter into this Agreement;
  • If you act for a business, be duly authorised to bind that business;
  • Not be a person subject to sanctions, or located in, ordinarily resident in, or organised under the laws of a jurisdiction where the Services are restricted (see our AML/CTF Policy);
  • Not have had a Coinepay account previously suspended or terminated for breach of this Agreement.

Services related to virtual assets are not available to residents of mainland China. Some Services or features may not be available in every jurisdiction, and you are responsible for ensuring that your use of the Services is lawful where you are.

3. Account Registration and Verification

3.1 You must provide accurate, complete and current information when registering and keep it up to date.

3.2 You must complete identity verification (KYC) or business verification (KYB) before using certain Services, and we may request further information at any time. We may decline an application at our discretion where permitted by law.

3.3 Each person or business may hold only the accounts we approve. Accounts are personal to you and may not be transferred, sold, rented or lent to others.

4. Account Security

4.1 You are responsible for keeping your login credentials, verification codes, card details and devices secure, and for all activity under your account.

4.2 You must notify us immediately at [email protected] or through in-app customer support if you suspect unauthorised access to your account or card. We will take reasonable steps to suspend the affected account or card once notified.

4.3 Coinepay will never ask for your password or full verification code. Be alert to phishing and impersonation.

5. The Services

5.1 Depending on your location and verification level, the Services may include virtual and physical payment cards, multi-currency balances, cross-border transfers and related tools for advertising, subscription, trade and e-commerce payments.

5.2 We may add, change, suspend or discontinue any part of the Services. Where a change materially affects you, we will give reasonable advance notice unless it is required for legal, security or risk reasons.

5.3 Transactions are subject to limits, review and approval by us and the Partner Institutions. We do not guarantee that any merchant, platform or recipient will accept a card or transfer.

6. Fees and Exchange Rates

6.1 Fees, exchange rates and limits applicable to each Service are shown in the application or communicated to you before you confirm a transaction. By confirming a transaction, you agree to the applicable fees.

6.2 Merchants, card networks, intermediary banks or recipient institutions may charge their own fees, which are outside our control.

6.3 You are responsible for any taxes that apply to your use of the Services.

7. Your Obligations and Prohibited Use

You agree not to use the Services:

  • For any unlawful purpose, or in breach of AML/CTF, sanctions, tax or consumer protection laws;
  • For any activity prohibited under our AML/CTF Policy, or by the rules of card networks or Partner Institutions;
  • To provide payment or money transfer services to third parties, or to conceal the true owner or source of funds;
  • With false, stolen or another person's identity or payment information;
  • To interfere with, reverse-engineer, attack or overload our systems, or to access them by automated means without our permission.

8. Card Transactions, Disputes and Refunds

8.1 You must check your transaction history regularly and notify us of any unauthorised or incorrect transaction without undue delay, and in any case within the period specified in the Partner Terms.

8.2 Disputes with merchants about goods or services should first be raised with the merchant. Where eligible, we will assist you in submitting a dispute (chargeback) to the card issuer in accordance with card network rules; the outcome is determined by the issuer and the card network.

8.3 Refunds from merchants are credited according to the merchant's and card network's processing times.

9. Suspension, Restriction and Termination

9.1 We may restrict, suspend or close your account or card, delay or decline transactions, or terminate this Agreement, where we reasonably believe that: you have breached this Agreement; your account is being used for fraudulent, illegal or prohibited purposes; we are required to do so by law, a regulator or a Partner Institution; or there is a security risk.

9.2 Where permitted by law, we will tell you the reason. We may not be able to do so where disclosure would be unlawful or compromise security.

9.3 You may close your account at any time by contacting customer support. Upon closure, any remaining available balance will be returned to you through a lawful method, after deduction of amounts owed and subject to completion of any compliance checks.

10. Intellectual Property

All content, trademarks, logos, software and materials on the Services are owned by or licensed to Coinepay. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Services for their intended purpose. You may not copy, modify, distribute or create derivative works without our prior written consent.

11. Third-Party Services

The Services may enable you to pay or link to third-party platforms (such as advertising, subscription or e-commerce platforms). Those platforms are operated by third parties under their own terms, and we are not responsible for their availability, content, decisions or policies, including any decision to restrict your account with them.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted, error-free or available at all times, or that any particular transaction will be completed within a specific time.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, Coinepay will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, data or goodwill.

13.2 To the maximum extent permitted by law, Coinepay's total aggregate liability arising out of or in connection with this Agreement is limited to the total fees you paid to Coinepay in the twelve (12) months before the event giving rise to the claim.

13.3 Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

14. Indemnity

You agree to indemnify Green Banking, its affiliates and their officers and employees against any claims, losses, liabilities and reasonable expenses arising from your breach of this Agreement, your violation of any law or third-party right, or your misuse of the Services.

15. Force Majeure

We will not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, epidemics, government action, failures of networks, card networks or Partner Institutions, or cyberattacks.

16. Changes to This Agreement

We may amend this Agreement from time to time. We will publish the updated version on this page and, for material changes, notify you through the Services or by email before they take effect. If you continue to use the Services after the changes take effect, you will be deemed to have accepted them. If you do not agree, you may close your account.

17. Notices

We may send notices to the email address or phone number registered to your account or through the Services. You may send notices to us at [email protected].

18.2 Before starting formal proceedings, please contact us so that we can try to resolve the matter amicably. Any dispute that is not resolved within thirty (30) days shall be submitted to the courts of the Province of Ontario sitting in Toronto, and you and we submit to the jurisdiction of those courts.

18.3 Nothing in this section prevents you from exercising any non-waivable rights you may have under the mandatory consumer protection laws of your province or country of residence, including the right to bring proceedings before the courts of your place of residence where such laws provide for it.

19. General

19.1 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect.

19.2 Our failure to enforce any right does not constitute a waiver of that right.

19.3 You may not assign or transfer this Agreement without our consent. We may assign it to an affiliate (including World Card Ltd) or a successor in connection with a reorganisation, merger or sale.

19.4 This Agreement, together with the policies referred to in it, constitutes the entire agreement between you and Coinepay regarding the Services.
